SHOP MEMBERSHIP TERMS of USE:

  1. Definitions

    1. CLIENT  is any user of IsGood Woodworks’ facility or service, except employees

    2. Membership is an agreement by the CLIENT to abide by the terms and conditions of this document.

    3. “Subscriber” is a CLIENT who has purchased a Subscription Membership, is not past due on any current or prior monthly payment or any other invoice, and has agreed to the TERMS AND CONDITIONS of this document.

    4. “Pay by Use Member” is a CLIENT who is not currently a Subscriber, is not past due on any current or prior invoices and has agreed to the TERMS AND CONDITIONS of this document

  2.  CLIENT hereby agrees to occupy and use ISGOOD WOODWORKS LLC premise and equipment situated in the City of  Seattle, county of King, State of Washington, described as 4660 East Marginal Way S, Seattle, WA 98134, Units 12 and 13, according to the following TERMS AND CONDITIONS

  3. Term and Fee for Subscribers. Subscriber agrees to make use of the facility within units 12 and 13 on a subscription basis. Subscription is for a selected number of hours per month chosen in the purchase process on IsGood Woodworks website. Hours do not roll over beyond the subscription term of one month. Any hours not used within the time of the subscription term will be lost forever. Subscriptions are set to auto renew at the end of each term unless the client cancels the subscription. A subscription may only be cancelled before the date of an auto renewal and only for upcoming renewals. Subscription fees are subject to change. Subscribers will be notified by email of any price increase. Said notification will be provided not less than 1 month prior to the date that the price increase becomes effective.

  4. Term and Fee for Pay by Use Members. Pay by Use members pay a fee for shop use on a term for each instance of use based on an appointment set by agreement between IsGood Woodworks and the individual Pay by Use Member. The fee is hourly and is equal to the rate set forth on IsGood Woodworks web site at the time of use

  5. Work Area. ISGOOD WOODWORKS LLC agrees to provide for the use of common area floor and bench space as reasonably required for the execution of CLIENT’s work in progress.

  6. Temporary Work in Progress Storage Space.   ISGOOD  WOODWORKS LLC  agrees to provide temporary storage of materials and      constructed elements for current work in progress by CLIENT. Materials and constructed elements may be stored for a period of time without activity  as posted at or near the work in progress storage areas.  A label provided by ISGOOD WOODWORKS LLC that includes the name of CLIENT, the date of storage from the time of most recent shop use, and the CLIENT’S phone number shall be attached to the material or constructed elements. If the label is missing, or the allowed period of storage is expired, said work in progress will be subject to removal or disposal without notification. THERE IS NO AVAILABLE STORAGE FOR MATERIALS THAT ARE NOT PART OF A CURRENT PROJECT

  7. Additional Charges for Training and Other Work-Related Issues.  CLIENT will be charged for any and all  time spent by any employee of ISGOOD WOODWORKS LLC in providing any  instruction or any other support that is necessary for the safe and efficient use of the shop by CLIENT, including the instructions required  for each piece of equipment listed in paragraph entitled “Use of  Equipment” below and any project specific advice or assistance. Charges will be at the hourly rate posted on IsGood Woodworks web site in the section on mentoring at the time that the chargeable work is performed.

  8. Terms of Payment for additional charges. CLIENT hereby agrees to receive and pay the appropriate invoice for all accumulated services received at the end of each shop use period logged, or from time to time in the case of charges incurred outside a period of shop use. All service invoices shall be due upon receipt.

  9. Use of Premise.  CLIENT shall use and occupy the premises for related woodworking activities compatible with the equipment and premises provided. The premises shall NOT be used for any  other non-related purposes.  ISGOOD  WOODWORKS LLC represents that the premises may lawfully be used for such purpose and activities.  CLIENT shall not use the premises for the purposes of, but not limited to, storing, manufacturing or selling any illegal, explosives, flammables, inherently dangerous substances, chemicals, hazardous materials of all kind, and/or dangerous devices, machinery, or tools, and hereby release, indemnify and defend ISGOOD WOODWORKS LLC harmless for any failures of such rule.

  10. Hours of Use.  Temporary use of the shop will be during a time scheduled in advance with ISGOOD WOODWORKS LLC and may be extended or reduced to suit the actual requirements of the work and other Members schedules.

  11. Election to Terminate Agreement.   ISGOOD WOODWORKS LLC may terminate this agreement at any time effective immediately In the event that CLIENT fails to abide by any of the terms of this agreement, violates generally recognized wood shop safety rules, or creates conflict or disruption for the other users of IsGood Woodworks’ shop.

  12. Use of Equipment- ISGOOD WOODWORKS LLC has and will maintain major woodworking equipment. CLIENT will be allowed to use the following  equipment upon proper training, instruction, and approval received from ISGOOD WOODWORKS LLC prior to any uses of such listed equipment:

    1. SCMI sliding panel saw, Powermatic Table Saw, Jet 12” table saw, Grizzly 20” planer, 8” Jointer, 16” jointer, Grizzly 18” Sander, Two miter saws, 3 Band saws, 20” Disk Sander, oscillating spindle sander, Flap sander, Drill press, Router table, Lathe, Radial arm saw, Line boring machine

  13. Restrictions on Equipment Use.  CLIENT  will be allowed the use of the equipment listed in “Use of Equipment” only after he/she has been trained and instructed in person by an employee of ISGOOD WOODWORKS LLC. Each individual piece of equipment will require training and instruction sufficient to satisfy minimum ISGOOD WOODWORKS LLC’s expectation of safety for regular uses.

  14. Additional Persons. This agreement is between COMPANY and CLIENT exclusively. However, CLIENT may sponsor a single accompanying third party and bring them onto the Premises  under the following cumulative circumstances

    1. Accompanying third party has met the requirements of membership as either a Pay by Use Member, or a Subscriber

    2. CLIENT agrees that such accompanying parties shall not be authorized to  use any of ISGOOD WOODWORKS LLC’s equipment on the Premises, unless said additional person has been certified on each specific piece of equipment that they will be using.

    3. All hours of use of the shop by an accompanying third party  will count as hours billable to Sponsoring member. 

    4. Accompanying third party must be working with and on a project belonging to the sponsoring member.

    5. CLIENT assumes and has full responsibilities for any and all actions done by such an accompanying party while within the Premises.

  15. Ordinances and Statutes. CLIENT shall comply with all statutes,  ordinances and requirements of all municipal, state and federal      authorities now in force or which may hereafter be in force, pertaining to the premises, occasioned by or affecting the use thereof by CLIENT

  16. Waiver.  No failure to enforce any term shall be deemed a waiver.

  17. Indemnification of ISGOOD WOODWORKS LLC. To the extent of the law, ISGOOD WOODWORKS LLC shall not be liable for any damage or injury to CLIENT, or any other person, or to any property, occurring on the demised premises or any part thereof. CLIENT agrees to indemnify, defend, and hold ISGOOD WOODWORKS LLC  harmless from any and all claims pertaining to any damages and injuries which may arise in connection with any related uses of the Premises or instructional media and  according to the Terms of this Agreement; regardless of occurrences.  Said indemnification shall include indemnity for any costs or fee which ISGOOD WOODWORKS LLC may incur in defending said claim.

  18. Assumption of Risks: Participation in woodworking shop activities carries with it certain inherent risks that cannot be eliminated regardless of the care taken to avoid injuries.  The specific risks vary from one activity to another, but the risks range from 1) minor injuries such as scratches, bruises, and sprains 2) major injuries such as eye injury or loss of sight, joint or back injuries, heart attacks, and concussions to 3) catastrophic injuries including paralysis and death.

    1. CLIENT  has read the above assumptions of risk and and CLIENT represents that they understand, and appreciate these and other risks that are inherent in woodworking shop activities.  CLIENT hereby asserts that CLIENT’S participation is voluntary and that CLIENT knowingly assumes all such risks.

  19. Modifications of Terms and Conditions. From time to time ISGOOD WOODWORKS LLC may elect to change these Terms and Conditions. No change to these Terms and Conditions shall become effective in less than a calendar month from the time that notice is sent to our members. ISGOOD WOODWORKS LLC will send notification to all members on record by email alone. Notification will be sent for any changes within the body of this Terms and Conditions document, and for any changes referenced directly from this document, such as the references to pricing. Members are responsible for maintaining current contact information on their membership profile on IsGood Woodworks LLC website. 

Entire Agreement. The foregoing constitutes the entire agreement between the parties
